This agreement governs the handling, digitization, and return of your photographs. Every client signs this before we accept any materials.

Company will gather from Client, scan, digitize, and return Client's original photographs per the pricing and scope set forth in the quote or order form referenced above (the "Job"). Scan Squirrel is a consumer photo digitization service, not an archival or museum-grade conservator.
Company will exercise reasonable care consistent with consumer photo digitization services. Company makes no guarantee regarding preservation of the physical condition of photographs.
Handling original photographs carries inherent risk of damage, loss, or destruction — including from age, fragility, equipment failure, transit, or human error. Client knowingly assumes these risks for any photograph submitted to the Company.
Company may refuse to handle any photograph it deems unsafe to process or excessively fragile. No charge applies to refused photographs.
Photographs are often submitted in albums, frames, mats, or other holders that cannot reliably be restored after scanning — adhesives fail, mats and glass are fragile, and the original sequence or layout is difficult to reproduce. Company will make reasonable efforts to return photographs in protective storage cases, and strongly recommends that Client accept the protective archival cases offered by Company for digitized photographs that are not intended for display.
Company does not guarantee that albums, frames, or other original holders will be restored to their prior condition, and Client is responsible for any final reassembly into albums, frames, or displays.
Unless Client and Company sign a written photograph inventory at pickup, Company does not maintain a master inventory of submitted photographs. Client recollection alone is not evidence that a particular photograph was submitted, and Company will not be liable for any photograph alleged to be missing that is not listed on a signed inventory.
Photographs are returned in as-is condition. Client waives any claim regarding pre-existing condition or alleged changes in condition unless Client demonstrates the change resulted from Company's gross negligence or willful misconduct.
To the maximum extent permitted by law, Company's total liability for any claim arising from the Job shall not exceed the fees paid by Client for the affected Job, and a refund of those fees is Client's sole and exclusive remedy. Company is not liable for sentimental value, replacement cost, emotional distress, or any consequential, incidental, or punitive damages.
This section does not limit liability for gross negligence or willful misconduct where such limitation is unenforceable under California law.
Optional AI enhancement is interpretive and may alter the appearance of images, including color, contrast, or facial features. Original unmodified scans are always preserved and delivered alongside any enhanced versions.
Client represents that they have the legal authority to submit the photographs and retain all ownership and copyright. Company claims no rights to Client's images.
Company treats all photographs as confidential and will not display, share, publish, or use any image for marketing or any other purpose without Client's prior written consent. Company will not retain Client's images beyond what is needed to complete the Job and any agreed delivery period.
Client acknowledges that Company's liability is capped as set forth above. If Client values any photograph at more than the fees paid for the Job, Client is responsible for obtaining their own insurance coverage.
Any dispute arising from this Agreement shall be resolved by binding arbitration in Los Angeles County, California under California law and JAMS Streamlined Arbitration Rules. Client waives the right to jury trial and participation in any class action. Nothing in this section prevents either party from seeking injunctive relief in court to protect confidentiality or intellectual property rights.
This Agreement, together with the referenced quote or order form, constitutes the entire agreement between the parties and supersedes any prior understandings. Amendments must be in writing and signed by both parties.
When you sign this agreement, you confirm the following:
I understand my photographs could be damaged, lost, or destroyed during handling.
I understand albums and frames may not be restored to original condition, and missing-photo claims require a signed inventory.
I accept that a refund of fees paid for the affected Job is my sole remedy.
I understand AI enhancement is interpretive; original scans are always preserved.
I agree to binding arbitration and waive my right to jury trial and class action participation.
